HR M&A Integration
HR M&A Integration & Post-Merger HR Support.
BloomGuarden helps acquiring organizations, private equity-backed businesses, and integration leaders execute the people side of a transaction—from Day 1 readiness through post-close stabilization. Work can include workforce alignment, payroll and HRIS integration, benefits and policy harmonization, and employee communications. Due diligence supports the integration plan; post-close execution is the primary focus.

Engagement Pillars
What the work actually looks like.
Post-Merger HR Integration
Support organization design, workforce alignment, leveling, and change management as the combined business moves from deal planning into operations.
Day 1 Readiness & Execution
Build and execute the people-side readiness plan for payroll and HRIS cutover, employee communications, leadership alignment, and policies.
Payroll, HRIS, Benefits & Policy Harmonization
Integrate payroll providers, HR systems, benefits plans, and policies across the companies being combined, so employees are paid and covered correctly.
Post-Close Stabilization
Establish workforce metrics, workstream ownership, and reporting after close so unresolved issues remain visible.
Supporting Due Diligence
Where needed, review workforce data, compensation, benefits, payroll, and compliance exposure, and hand findings to the people who will own integration.
Engagement Process
How an engagement unfolds.
Pre-LOI / Diligence
Confirm the transaction context and review workforce, compensation, benefits, payroll, and compliance data under the agreed confidentiality arrangements.
Sign-to-Close Planning
Turn the people-side findings into a Day 1 playbook with payroll, systems, communications, and policy priorities, coordinated with legal and finance.
Day 1 Execution
Execute the agreed payroll, HRIS, and communications cutover work with the operating team and the owners of the broader transaction.
Post-Close Integration
Work through organization design, leveling, harmonization, and stabilization, with workforce reporting and clear workstream owners.

Choosing the Right Model
Diligence advice, integration execution, or ongoing HR leadership?
Legal and financial diligence
Best when
The transaction needs counsel and financial review of its legal, accounting, and deal implications.
Keep in mind
Those workstreams do not replace people-side operational planning. BloomGuarden coordinates HR findings and execution with legal and finance rather than replacing them.
HR M&A project support
Best when
You need workforce diligence, a Day 1 plan, or hands-on HR integration around an acquisition, add-on, or carve-out.
Keep in mind
The scope follows the transaction stage and workstreams involved. Diligence findings and integration execution need distinct owners and deliverables.
Fractional HR leadership
Best when
The business also needs a senior HR partner to own the ongoing people plan beyond the transaction.
Keep in mind
Ongoing leadership is a separate need from a defined transaction project. The two services can work alongside each other when both are required.
Common Questions
What leadership teams typically ask.
What does HR due diligence cover in an acquisition?+
BloomGuarden reviews workforce data, compensation, benefits, payroll, and compliance exposure within the agreed scope. The output is a findings and exposure summary that helps the deal team understand people-side issues and plan the operational work ahead.
When should we involve an HR M&A advisor?+
We can engage before LOI, during diligence, between signing and close, or after close. Early involvement can connect workforce findings to Day 1 planning; an engagement that starts later can focus on integration and stabilization.
What is included in Day 1 readiness?+
The people-side plan covers the agreed payroll and HRIS cutover work, employee communications, leadership alignment, and policy alignment. Deliverables include a readiness checklist and runbook so the operating team knows the priorities and responsibilities.
Do you execute the integration or only advise?+
We support execution as well as planning. Work can include payroll and HRIS cutovers, communications, organization design, leveling, policy harmonization, and post-close stabilization. The proposal specifies the workstreams BloomGuarden will own or support.
Can you support a carve-out or a portfolio company add-on?+
Yes. We support buy-side acquisitions, add-on integration, and carve-out or divestiture HR work. The plan is tailored to the systems, workforce, and separation or combination involved.
How do you work with deal counsel and finance?+
We work alongside deal counsel and the CFO or finance team. Our responsibility is the agreed people-side workstream within their broader transaction process, not a replacement for legal or financial advice.
Do you sign NDAs before reviewing workforce information?+
Yes. We sign NDAs and can engage pre-LOI. Confidentiality arrangements and the review scope are established before the diligence work proceeds.
What will the team have after close?+
Depending on scope, the deliverables include an integration plan with workstream owners and a post-close workforce reporting cadence, alongside the diligence summary and Day 1 runbook. The focus is turning transaction decisions into an operating process.
How do you scope an HR M&A engagement?+
We start with the transaction stage, acquisition or separation context, workforce, systems, and the work already covered by your advisors. The written proposal defines the priorities, deliverables, responsibilities, and commercial terms without a standard public package.
